What Is an LLC in West Virginia?
Under the West Virginia Uniform Limited Liability Company Act (W. Va. Code § 31B-1-101 et seq.), a limited liability company is a business entity whose owners, known as members, enjoy statutory protection from personal responsibility for the company’s debts and obligations. The act makes this protection explicit: “a member or manager is not personally liable for a debt, obligation, or liability of the company solely by reason of being or acting as a member or manager.”
West Virginia LLCs may be structured as member-managed or manager-managed. In a member-managed company, each member holds equal rights in daily operations; in a manager-managed company, designated managers, who need not be members, direct business affairs, as outlined in W. Va. Code § 31B-4-404. For federal income tax purposes, a single-member LLC is treated as a disregarded entity and a multi-member LLC as a partnership by default, though either may elect corporate taxation by filing IRS Form 8832.
West Virginia imposes a personal income tax that reaches LLC members’ distributive shares. The LLC itself pays no entity-level income tax unless it elects corporate status, but it must obtain a business registration certificate from the State Tax Department before engaging in any business activity in the state.
West Virginia LLC Name Search
An LLC’s name must be distinguishable on the records of the Secretary of State from the name of every other entity already on file and must contain a required designator, “Limited Liability Company,” “Limited Company,” “LLC,” “L.L.C.,” “LC,” “L.C.,” or “Ltd. Co.” as mandated by W. Va. Code § 31B-1-105. When the Secretary of State evaluates distinguishability, it disregards corporate name endings, articles, and word separators such as “The,” “A,” “And,” and “&”; singular-versus-plural differences; apostrophes; and whether words are combined or separated.
Words implying banking, insurance, or governmental authority may require proof of separate licensure before the filing is accepted. An organizer should search the Secretary of State’s Business Organization Search tool to check whether a proposed name is available, but a clear search result does not guarantee acceptance — the Secretary of State makes a final determination when it reviews the articles of organization.
Name Reservation: A name may be reserved for 120 days by filing Form NR-1 and paying the $15 fee. The reservation may be renewed for one additional 120-day period but may not thereafter be reserved by the same or associated persons within one calendar year after the last reservation expires, under W. Va. Code § 31B-1-106.
Choosing an LLC Registered Agent in West Virginia
Every West Virginia LLC must maintain a designated office in the state and an agent for service of process at a specified address. The agent receives lawsuits, legal notices, and official correspondence on behalf of the company—a requirement established under W. Va. Code § 31B-1-108.
An eligible agent must be an individual resident of West Virginia, a domestic corporation, another LLC, or a foreign corporation or foreign LLC authorized to do business in the state. The designated office need not be the LLC’s place of business, but the address must be a physical location, not a post office box, where service of process can be delivered during normal business hours.
The articles of organization require the organizer to identify “the name and address of the initial agent for service of process, if any.” An LLC that fails to maintain a registered agent and designated office risks administrative dissolution, which strips the company of good standing and its ability to prosecute or defend lawsuits in West Virginia courts. Reinstatement after administrative dissolution requires a $25 fee under W. Va. Code § 59-1-2.
LLC Filing Requirements in West Virginia
A West Virginia LLC comes into existence when its articles of organization are filed with and accepted by the Secretary of State, as provided in W. Va. Code § 31B-2-202. Unless the organizer specifies a delayed effective date, the LLC’s legal existence begins on the date of filing.
The required contents of the articles of organization are prescribed by W. Va. Code § 31B-2-203 and include:
- The LLC’s name, with a required designator
- The address of the initial designated office in West Virginia and the mailing address of the principal office
- The name and address of the initial agent for service of process
- The name and address of each organizer and of each member having authority to execute instruments on behalf of the LLC
- Whether the company is a term company and, if so, the specified term
- Whether the company is manager-managed and, if so, the name and address of each initial manager
- Whether any members will be personally liable for the company’s debts under W. Va. Code § 31B-3-303©
- The purpose or purposes for which the LLC is organized
- An email address for informational notices and annual filing reminders
The filing fee is $100. Filing may be completed through two channels:
Online: Register through the West Virginia One Stop Business Portal, which consolidates Secretary of State, State Tax Department, and WorkForce West Virginia registrations into a single application. An account must be created before filing. By Mail: Send the completed articles of organization and a $100 check to WV One Stop Business Center, 13 Kanawha Blvd. W., Suite 201, Charleston, WV 25302.
Expedited processing is available at three tiers: $25 for 24-hour processing, $250 for 2-hour processing, and $500 for 1-hour processing. These fees are in addition to the standard $100 filing fee and may be applied to both online and paper filings through the Expedite Service page.
Note: Every LLC must also obtain a business registration certificate from the West Virginia State Tax Department before engaging in any business activity. This registration can be completed simultaneously through the One Stop Business Portal or separately by filing Form WV/BUS-APP with the Tax Commissioner. The registration certificate fee is $30.

LLC Operating Agreement in West Virginia
West Virginia does not require an LLC to adopt a written operating agreement, but the statute gives broad force to whatever agreement the members reach. Under W. Va. Code § 31B-1-103, “all members of a limited liability company may enter into an operating agreement, which need not be in writing, to regulate the affairs of the company and the conduct of its business, and to govern relations among the members, managers, and company.”
An operating agreement is the internal governance document that defines management authority, allocates profits and losses, prescribes conditions for admitting or expelling members, sets rules for transferring membership interests, and establishes dissolution procedures. It is not filed with any state agency; the LLC and its members retain it as a private contract.
Without an operating agreement, the statutory defaults under Chapter 31B control. Those defaults provide that the LLC is member-managed, that distributions are made in equal shares regardless of contribution amounts under W. Va. Code § 31B-4-405, and that a transferee of a distributional interest receives only economic rights — not management authority — unless all other members consent under W. Va. Code § 31B-5-503. A single-member LLC also benefits from a written agreement because it documents the separation between the member’s personal assets and the company’s assets, reinforcing the liability shield that courts evaluate when considering veil-piercing claims.
How to Get an EIN for an LLC in West Virginia
A federal Employer Identification Number (EIN) is a nine-digit identifier that the Internal Revenue Service assigns to an LLC for tax reporting. Any LLC that has employees, files excise or employment tax returns, or withholds taxes on income paid to a non-resident alien must obtain one. A single-member LLC with no employees is not strictly required to apply, but most banks will not open a business account without an EIN, and securing one early prevents delays when the company begins hiring or entering into contracts.
The fastest method is the IRS EIN Online Application, which issues the number immediately upon completion. The online tool is available Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern Time, and the applicant must have a valid Social Security Number or Individual Taxpayer Identification Number. Alternatively, an organizer may complete IRS Form SS-4 and submit it by fax — with a response in roughly four business days — or by mail, which takes approximately four to five weeks.
The application requires the name and Taxpayer Identification Number of the LLC’s responsible party, defined as the individual who controls, manages, or directs the company and its funds and assets. There is no fee to apply.
Note: The IRS online EIN application is available only during limited hours—Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern Time.
Registering for State Taxes in West Virginia
West Virginia imposes a personal income tax, and LLC members owe state income tax on their distributive shares of the company’s earnings. The LLC itself is not subject to a separate entity-level income tax unless it elects corporate treatment, but every person or entity intending to engage in business activity in the state must first obtain a business registration certificate from the West Virginia State Tax Department. The certificate is obtained by filing Form WV/BUS-APP or by registering through the One Stop Business Portal, and carries a $30 fee.
If the LLC sells tangible personal property or provides taxable services, it must collect and remit West Virginia consumer sales tax. Sales tax registration is included in the business registration certificate application. The combined state sales tax rate is 6%, with certain municipalities imposing additional local taxes. All tax returns, including withholding, sales tax, and business franchise filings, are managed through the State Tax Department’s MyTaxes portal.
| Tax Type | Agency | Registration Method | Fee |
